Licensing Policy

 

  1. Introduction

This Software Licensing Policy (“Licensing Policy”) outlines the terms and conditions under which EXIMPROD ENGINEERING SA (“Licensor”) grants a non-exclusive license (“License”) to use the Edge Computing software (“Software”) to authorized users (“Licensee”). This Policy also defines the available Maintenance and Support services.

  1. Definitions
  • Software: The Edge Computing software, including its associated documentation, updates, and upgrades.
  • Licensee: The individual or entity granted the License to use the Software.
  • Maintenance: Services provided by the Licensor to ensure the continued functionality and security of the Software, including bug fixes and security patches.
  • Support: Services provided by the Licensor to assist the Licensee with using the Software, including answering questions, troubleshooting issues, and providing technical guidance.
  1. License Grant

3.1 Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable License to install and use the Software for internal business purposes only.

3.2 Licensee may not:

  • Reverse engineer, decompile or disassemble the Software.
  • Modify or create derivative works of the Software.
  • Distribute, copy, or sublicense the Software to any third party.
  • Use the Software for any illegal or unlawful purpose.
  1. Maintenance and Support

4.1 Licensor offers paid Maintenance and Support services for the Software.

4.2 Maintenance services include:

  • Bug fixes and security patches for the Software.
  • Access to knowledge base articles and documentation.

4.3 Support services include:

  • Phone and email support during business hours.
  • Technical assistance with using the Software.

4.4 The licensee must purchase a separate Maintenance and Support subscription to access these services.

4.5 Maintenance and Support subscriptions are offered in different tiers with varying levels of service and response times.

4.6 The specific terms and conditions of Maintenance and Support subscriptions are detailed in a separate agreement.

  1. Term and Termination

5.1 The License shall commence on the date of the Licensee’s acceptance of the Policy and shall remain in effect for a period of one (1) year (“Initial Term”).

5.2 The License may be renewed for additional one-year terms upon mutual agreement of the parties.

5.3 This Policy may be terminated by either party upon written notice to the other party for any reason or no reason.

5.4 This Policy may be terminated immediately by the Licensor upon a material breach by the Licensee.

  1. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  1. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS POLICY OR THE USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  1. Intellectual Property Rights

The Software and all intellectual property rights associated therewith are and shall remain the exclusive property of the Licensor.

  1. Governing Law

This Policy shall be governed by and construed in accordance with the laws of Romania.

  1. 10. Severability

If any provision of this Policy is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in full force and effect.

  1. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, postage prepaid, return receipt requested, or sent by a nationally recognized overnight courier service.

  1. Updates

The Licensor reserves the right to update this Policy at any time by posting the revised Policy on its website or by providing written notice to the Licensee. The revised Policy shall be effective as of the date of posting or the date of written notice.
